Tackling ‘boilerplate clauses’

Boilerplate clauses can be found in most contracts, but are often overlooked.  Partner Jatinder Garcha [1] and Edward Colclough review some of the more common boilerplate provisions including ‘entire agreements’, ‘set-off’, ‘no waiver’, and ‘counterpart clauses’.  They also consider what impact these clauses actually have on a party’s contractual rights and aim to give some practical tips and points to watch out for in contract negotiations.
